Reporting to the Director, Legal, you will work closely with QuadReal’s business units, clients, stakeholders and external counsel on a variety of matters, including but not limited to corporate and commercial matters, corporate governance, regulatory compliance and investments (acquisitions, dispositions, joint ventures). In this role, you will primarily perform the following functions:

  • Partner with internal stakeholders on commercial agreements, insurance, intellectual property, tax, labour & employment and other matters, and provide proactive and creative legal and business solutions on same;
  • Review and negotiate legal documentation in connection with the foregoing;
  • Work closely with executive management and board of directors on corporate governance matters, including board meetings, board deliverables, transaction approvals and other governance decisions;
  • Ensure compliance with brokerage, securities and other applicable regulations and governing agreements;
  • Develop and maintain operating guidelines and policies on governance, conflicts, ethics, securities regulatory compliance and other matters;
  • Supervise, work closely with and, together with business teams, direct external legal counsel (including establishing legal budgets and approving legal invoices);
  • Together with business teams, play a frontline role in identifying, implementing, amending and enhancing QuadReal’s risk management practices;
  • Develop and maintain standard practices, legal documentation precedents, policies and best practices;
  • Provide training and educational seminars to business teams;
  • Provide advice on various legal issues that may arise from QuadReal’s investment portfolio, and such other matters pertaining to any aspect of QuadReal’s business and governance as may be directed from time to time; and
  • As needed, provide legal support on real estate transactions, including due diligence oversight and review and negotiation of legal documentation, and other corporate transactions, such as corporate reorganizations and financings.

Knowledge, Experience and Skills:

Required level of education, qualification and job-related of experience:

  • Law degree (LLB or JD) and called to the bar in British Columbia or Ontario (or qualified to be called).
  • 3+ years of post-call experience, preferably including at a major law firm.
  • Considerable experience with most of the following: corporate governance, regulatory compliance, corporate and investment transactions (e.g., M&A, corporate reorganizations, financings), commercial agreements.

Decision Making Accountability:

  • Make business and legal decisions related to operations and real estate transactions/ongoing ownership and management of real estate investments.
  • Exercise an influential role in business decisions by providing guidance, recommendations and risk analysis regarding legal and regulatory matters.
  • Assist senior executive management and Board of Directors with execution of board mandates and corporate governance matters.
  • Instruct external legal counsel and approve invoices.
