National Section By-Laws

WHEREAS the Business Law and Constitutional and Human Rights Law Sections wish to enhance involvement of voting Members-at-Large on their Section Executive Committees;

WHEREAS the Competition Law Section wishes to have consistent notice requirements for its Executive Committee and Officers' meetings;

BE IT RESOLVED THAT:

  1. the National Business Law Section By-Law be amended to:
    • repeal Article 5(iii);
    • add "Member-at-Large" to the list of Officers in article 6(a);
    • add the following to article 7
    • "Member-at-Large - assists the Chair and Vice-Chair in the performance of their duties as they deem appropriate";
    • replace "secretary" with "Member-at-Large" in article 8;
    • delete "or Member-at-Large" from article 12 (a) and (b);
  2. article 5 (iii) of the National Constitutional & Human Rights Law Section By-Law be amended to change "not more than three members-at-large" to "not more than five members-at-large";
  3. article 22 of the National Competition Law Section By-Law be repealed and replaced with:

    "Officers' Meetings

    The Officers may meet by telephone conference call. Notice of the time, place and general purpose of any such meeting shall be sent to the Officers at least two days prior to the meeting, unless such notice is waived by all of the Officers, which waiver may be given at any time before or after the meeting."
