Contest Rules

  1. Sponsor. The Test Drive the CBA Membership Giveaway (the "Contest") is sponsored by The Canadian Bar Association, a Canadian professional association incorporated by special act and having a national and registered office at 66 Slater Street, Ottawa, ON K1P 5K8 ("Sponsor").
  2. Eligibility. This Contest is open to legal residents of Canada, excluding Quebec, who: (1) are natural persons who are 19 years old or older; (2) were not members of any branch of Sponsor between September 1, 2018 and January 5, 2020; and (3) qualify for membership with Sponsor in one of the Membership Types (as defined below), and will qualify for membership with Sponsor in one of the Membership Types during the Membership Term. Employees of Sponsor or of any of Sponsor's branches, departments or agencies, and those individuals living in the same household as each such employee are not eligible to enter the Contest. By entering and participating in the Contest, entrants acknowledge compliance with, and agree to be bound by, these Contest Rules. Entrants who do not comply with any of the Contest Rules are subject to disqualification by Sponsor, in Sponsor's sole discretion.
  3. Contest Dates and Times. The Contest begins on January 6, 2020 at 12:00 a.m. Pacific Standard Time and ends on February 28, 2020 at 11:59 p.m. Pacific Standard Time (such period, the "Contest Period"), after which time the Contest will be closed and no further entries will be accepted.
  4. How to Enter. No purchase is required to enter the Contest. Each entrant may enter the Contest in one of two ways: (a) by registering for membership with Sponsor in one of the Membership Types at any time during the Contest Period for a membership term commencing on the date of registration and ending on August 31, 2020; or (b) by writing a 200-word minimum original essay on the topic "Why The Canadian Bar Association is Important to the Legal Profession" and e-mailing the essay to: membership@cbabc.org. Limit one entry per entrant. Each essay entry must include the entrant's full name, residential address, daytime phone number with area code and valid e-mail address. Receipt of an essay entry occurs when the entry is received in Sponsor's e-mail inbox. All entries must be complete and are subject to verification by Sponsor, in its sole discretion. A winner that has entered the Contest by registering for membership with Sponsor in one of the Membership Types must remain a member until August 31, 2020 in order to be entitled to receive a prize; any such winner that does not remain a member until August 31, 2020 is deemed to have expressly declined to receive a prize.

    By entering the Contest, each entrant that enters the Contest by submitting an essay entry represents and warrants to Sponsor that the entrant's essay entry: (a) is created solely by the entrant; and (b) does not infringe upon the intellectual property rights, proprietary rights or other statutory or common law rights of any third party. Any attempt or suspected attempt to use robotic, automatic, programmed or otherwise illicit means to enter the Contest, or any other methods not authorized by these Contest Rules, for example, but not limited to, creating multiple accounts, identities, or registrations, all in Sponsor's sole discretion, shall be deemed as tampering and may disqualify an entrant from entering, participating and/or winning a prize. Entries that contain false or incomplete information are void. Entries that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or that do not conform with or satisfy any or all of the conditions of the Contest Rules are void. No correspondence will be entered into except with Selected Entrants (as defined below). Proof of transmission (for example, screenshots or captures) does not constitute proof of entry or receipt of an entry.
  5. Contest Prizes. There are a total of seven prizes available to be won, each being the membership fees (inclusive of goods and services tax) for a one-year membership term commencing on September 1, 2020 and ending on August 31, 2021 (the "Membership Term") with the branch of Sponsor associated with the Canadian province or territory in which the winner is licensed to practice law or in which the winner is articling or completing his or her Bar Admissions course as part of the province's or territory's law society or bar admission program (provided that if there is more than one applicable province or territory, the winner may choose the applicable province or territory) for the following membership types only: Regular, New Lawyer/Intermediate, or Articling/Bar AD Student (the "Membership Types"). Approximate retail value of each prize ranges from $174.00 to $651.00 depending on the winner's applicable branch and Membership Type (e.g. NU - Articling/Bar AD Student: $182.70; NU - New Lawyer: $266.18; NU - Regular: $572.25; PEI - Articling/Bar AD Student: $200.10; PEI - New Lawyer: $291.52; PEI - Regular: $626.75; AB - Articling/Bar AD Student: $216.09; AB - New Lawyer: $316.27; AB - Regular: $683.55).

    Prizes must be accepted as awarded, have no cash value and may not be refunded. Prizes or any portion of a prize cannot be combined with other discounts, promotions or special offers. Sponsor reserves the right to substitute an alternate prize of equal or greater value if an advertised prize is unavailable at the time of award. Prizes may not be transferred by a winner to any other person.
  6. Odds of Winning. The odds of winning depend on the number of eligible entries received by Sponsor during the Contest Period and the number of remaining prizes to be won.
  7. Skill-testing Question. Selected Entrants will be required, as a condition of winning a prize, to correctly answer, without assistance of any kind, Sponsor's time-limited, mathematical skill-testing question. Each Selected Entrant will be contacted by telephone by an employee or agent of Sponsor's British Columbia branch to administer the skill-testing question.
  8. Winner Selection and Confirmation. At 12:00 p.m. Pacific Standard Time on each of the following dates at 845 Cambie Street, Vancouver, BC V6B 5T3, an employee or agent of Sponsor's British Columbia Branch will conduct a random draw from all eligible entries received during the Contest Period and select the potential winners ("Selected Entrants"): January 20, 2020; January 27, 2020; February 3, 2020; February 10, 2020; February 18, 2020; February 24, 2020 and March 2, 2020. Each Selected Entrant will be notified within two business days of the contest draw and will be contacted by either e-mail or telephone provided at the time of entry into the Contest. Up to three attempts will be made to contact each Selected Entrant within three business days following the draw. A Selected Entrant that cannot be reached within such period may be forfeited, in Sponsor's sole discretion. Sponsor is not responsible for the failure for any reason whatsoever of a Selected Entrant to receive notification or for Sponsor to receive a Selected Entrant's response. Each Selected Entrant may be required to provide proof of identity. If the identity of a Selected Entrant is disputed, Sponsor may, in its sole discretion, deem the entry of the Selected Entrant void.

    A Selected Entrant will be deemed a winner if the Selected Entrant meets all of the eligibility criteria set out in these Contest Rules. If the entry of a Selected Entrant is deemed void as set forth above or if a Selected Entrant is forfeited as set forth above, or does not meet the eligibility criteria, or does not or cannot accept a prize, such Selected Entrant will be disqualified and will not receive a prize and another entrant will be selected by way of a random draw from the remaining eligible entries until the applicable prize has been awarded. Before being declared a winner, each Selected Entrant will be required to: (a) correctly answer Sponsor's skill-testing question; (b) sign and return Sponsor's Declaration of Eligibility and Liability/Publicity Release form ("Winner Release"); and (c) comply with all other Contest Rules, all in the sole discretion of Sponsor. The Winner Release will be sent to each Selected Entrant by way of e-mail using the e-mail address provided in the Selected Entrant's entry. A signed copy of the Winner Release must be e-mailed to Sponsor at membership@cbabc.org and received by Sponsor no later than three business days after Sponsor sends the Winner Release to the applicable Selected Entrant.
  9. Winner Release. All winners must sign the Winner Release to: (a) confirm compliance with all Contest Rules; (b) agree to accept prizes as awarded; (c) release, discharge and hold harmless Sponsor, Sponsor's branches, departments and agencies, advertising and promotional agencies, counsel, marketing partners, and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (collectively, "Released Parties") from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize or any travel related thereto, and the use of entries by Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and fundamental breach, failure of any third-party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties' control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the entrants, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the entrant's participation in the Contest and/or in connection with the acceptance and/or exercise by the entrant of prizes as awarded; (d) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur as a result of any non-compliance by entrants with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an entrant of a prize, and the use of entries by Sponsor; (e) assign to Sponsor all intellectual property in the winner's Contest entry and waive all moral rights thereto; and (f) grant to Sponsor a non-exclusive, worldwide and royalty-free licence to use and reproduce, in perpetuity and in any medium, the winner's name, city of residence, province or territory of residence and associated branch of Sponsor and all information regarding to the winner's participation in the Contest for any and all purposes relating to advertising, promoting or publicizing the Contest or Sponsor, without any right of review.
  10. LIMITATION OF LIABILITY. BY ENTERING THE CONTEST, EACH ENTRANT EXPRESSLY ACKNOWLEDGES AND AGREES THAT SPONSOR AND FACEBOOK, INC. ARE NOT RESPONSIBLE FOR: (A) INCORRECT OR INACCURATE ENTRY INFORMATION THAT MAY AFFECT A PERSON'S ABILITY TO PARTICIPATE IN THE CONTEST OR BE AWARDED A PRIZE, INCLUDING BUT NOT LIMITED TO HUMAN ERROR, TECHNICAL MALFUNCTIONS, LOST OR DELAYED ENTRIES FOR ANY REASON, MAIL FAILURES, OMISSION, OR ANY COMBINATION THEREOF, AND ENTRIES THAT FAIL TO FULLY COMPLY WITH THESE CONTEST RULES; (B) TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (C) LOST, INCOMPLETE, DELAYED, MUTILATED OR MISDIRECTED ENTRIES OR WINNER RELEASES; (D) INJURY OR DAMAGE TO ENTRANTS' COMPUTERS OR TO ANY OTHER INDIVIDUAL'S COMPUTER RELATED TO OR RESULTING FROM PARTICIPATING IN, OR DOWNLOADING ANY MATERIAL REGARDING THE CONTEST OR ACCEPTING A PRIZE; (E) ANY INJURY OR DAMAGE, WHETHER TO PERSONS OR PROPERTY OR OTHERWISE, WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, IN WHOLE OR IN PART, FROM ENTRANT'S PARTICIPATION IN THE CONTEST OR RECEIPT OR USE OR MISUSE OF ANY PRIZE, INCLUDING ANY RELATED TRAVEL AND THE USE OF ENTRIES BY SPONSOR, WHETHER OR NOT CAUSED BY SPONSOR'S NEGLIGENCE; (F) THE SECURITY OR PRIVACY OF INFORMATION TRANSMITTED VIA COMPUTER NETWORKS OR FOR BREACHES OF PRIVACY DUE TO INTERFERENCE BY THIRD-PARTY COMPUTER HACKERS OR OTHERWISE; OR (G) LATE, LOST, MISDIRECTED OR UNSUCCESSFUL EFFORTS TO NOTIFY A POTENTIAL WINNER.
  11. Other Conditions. Sponsor reserves the right to terminate or amend this Contest at any time and in any way, without prior notice to entrants. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned for any reason, Sponsor reserves the right to cancel the Contest and conduct a random draw from all previously received eligible entries received during the Contest Period prior to the cancellation.
  12. Publicity and Entrant Information; Intellectual Property. By participating in the Contest, each entrant expressly consents to the following: (a) the collection, use and disclosure of such person's name, address (including postal code), e-mail address, telephone number, and entry for the administration of the Contest in accordance with and subject to Sponsor's privacy policy: https://www.cba.org/Who-We-Are/Governance/Policies/Privacy-Policy; and (b) the collection, use and disclosure of such person's name, city of residence, province or territory of residence, associated branch of Sponsor and entry for any advertising, promotions or publicity carried out by Sponsor, without further notice or compensation to the entrant. By entering the Contest, each entrant will be deemed to have granted to Sponsor a non-exclusive, worldwide and royalty-free licence to use and reproduce, in perpetuity and in any medium, the entrant's name, city of residence, province or territory of residence and associated branch of Sponsor and all information regarding the entrant's participation in the Contest for any and all purposes relating to advertising, promoting or publicizing the Contest or Sponsor, with no right of review. All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by Sponsor. All rights reserved. Unauthorized copying or use of any of Sponsor's intellectual property without the express written consent of Sponsor is strictly prohibited.
  13. Law. This Contest is void where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal and local laws. This Contest shall be governed exclusively by the laws of the province of British Columbia and the federal laws of Canada applicable therein, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Contest rules, rights and obligations between entrants and Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Vancouver, British Columbia.
  14. Rule Amendments. Sponsor reserves the right, in its sole discretion, to amend or modify these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever including, without limitation, in the event that any cause beyond the reasonable control of Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest.
  15. No Endorsement. Each entrant expressly acknowledges and agrees that the Contest is no way sponsored, endorsed, administered by or associated with Facebook, Inc., LinkedIn Corporation or any other social media platform through which the Contest is promoted or administered.
