Description

As Associate Corporate Counsel, you will be responsible for providing legal advice to the Canadian district, including transactional and operational matters, and working closely with leadership to identify and mitigate legal issues. This person will report to the Senior Corporate Counsel in Canada. 

What you will be doing:

  • Reviews project contract documents to identify and analyze legal risk related to the project. Works to mitigate and/or resolve risk to project or company.  
  • Prepares project legal reviews for the Bid Review Committee and project teams.
  • Drafts project correspondence and negotiates agreements, including subcontract agreements with designers and civil subcontractors, and parent company guarantees.
  • Works closely with JV partners and external counsel to negotiate deals and joint venture agreements, completes closing paperwork and closing books.
  • Advises project stakeholders of potential disputes and recommends mitigation strategies.
  • Prepares deal manuals and training sessions for project contracts working closely with corporate legal management and project leadership.
  • Reviews and supports submission requirements for Canadian competitive selection processes, including Requests for Proposals (RFP).
  • Maintains knowledge of Company’s values and strategic plan.
  • Perform additional assignments per Senior Corporate Counsel’s direction.

What we are looking for:

  • Juris Doctor or LLB required. License to practice in British Columbia or Alberta preferred.
  • 2+ years’ experience of post-bar professional legal experience required.
  • Experience in construction law or construction industry an advantage.
  • Exceptional written and verbal communication and drafting skills.
  • Analytical and proven problem-solving skills.
  • High-integrity and able to maintain strict confidence with sensitive material and matters.
  • Strong collaboration and team player attitude.
  • Ability to travel, as needed.
